Client Relationship Summary - August 2023

STRATxAI Technologies Ltd (STRATxAI) is an investment adviser registered with the U.S. Securities and Exchange Commission. Investment advisory and brokerage services and fees differ; therefore, it is important for you to understand the differences.

Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS, which also provides educational materials about investment advisers, broker-dealers, and investing.

What investment services and advice can you provide me?

STRATAxAI advice is powered by the data-driven insights it makes when clients input various choices for the construction of an investment portfolio. These choices can help tailor both pre-existing model portfolios provided on the STRATxAI platform, or be used to construct more bespoke data-driven strategies based on different performance metrics and asset attributes. Such data points, which are largely driven by the client, allow the Advisor to provide investment advice tailored to each specific client’s concerns (which may include investment horizon, investment risk preference, fundamental and technical indicators, and sector weighting, for example). STRATxAI does not monitor client portfolios outside the platform.  Clients have continuous access to the website platform and all its functionality, and clients choose the frequency of account rebalancing.

STRATxAI only has trading discretion over client accounts for rebalancing the account to the selected model portfolio, should the client grant such permission.  Such discretion is limited to the selection and amount of securities to be bought or sold in client accounts without obtaining prior consent or approval from the client for each transaction.  Clients approve the initial portfolio transactions prior to the transactions being executed.  The rebalancing trades are subject to the specified investment objectives, guidelines or limitations previously set forth by the client and agreed to by STRATxAI.  Our level of authority is determined at the beginning of our relationship with you in our advisory agreement but can be changed upon request.

We provide investment recommendations using a wide array of securities types to meet the investment objectives of clients.  We do not have any minimum requirements for opening or maintaining accounts for retail investors.

What fees will I pay?

Principal Fees: We are compensated for providing the investment advisory services by charging either an AUM fee of between 0.15%-1.00% depending on the client relationship and use of STRATxAI expertise and platform. We can alternatively be compensated via a monthly fixed fee that represents a license fee of SaaS fee, depending on factors that include whether clients co-create data-driven model portfolios with us or they utilize our no-code platform directly to construct their own long-term investing strategy using our data and AI algorithms.


Other Fees and Costs: STRATxAI’s fees are exclusive of brokerage commissions, transaction fees, and other related costs and expenses which shall be incurred by the client.  You may incur certain charges imposed by custodians, brokers, custodial fees, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions.

What are your legal obligations to me when acting as my investment adviser? How else does your firm make money and what conflicts of interest do you have?

When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. Here is an example to help you understand what this means.

STRATxAI and its Investment Advisor Representatives (IARs) are allowed to invest for their own accounts in the same securities that we recommend or acquire for your account, and may engage in transactions that are the same or different than transactions recommended or made for you.

Our IARs are compensated through the receipt of a portion of revenue we receive for the advisory services we provide. The portion paid to your IAR generally does not vary based on the type of investments that are recommended.
